Welcome to VertexComms ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our website and the services we offer (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

2. Subscription and Lock-In Period

2.1. Subscription Plans

2.2. Minimum Commitment (Lock-In Period)

All subscription plans are subject to a minimum commitment period of four (4) months ("Lock-In Period") from the date of your initial subscription. By subscribing to our Services, you agree to maintain your subscription and make all associated payments for the duration of this 4-month period.

2.3. Cancellation During Lock-In Period

If you choose to cancel your subscription before the end of the 4-month Lock-In Period, you will be required to pay the remaining balance for the full duration of the period. Your access to the Services will continue until the end of the 4-month term, after which your subscription will be terminated.

3. User Responsibilities

You agree to use our Services only for lawful purposes and in accordance with all applicable laws and regulations, including those related to telecommunications, data privacy, and marketing.

• You are responsible for all activities that occur under your account.
• You will not use the Services for any illegal, fraudulent, or unauthorized purpose.
• You will not interfere with or disrupt the integrity or performance of the Services.
• You must have all necessary rights and consents to use the data you provide in connection with the Services, including any personal data of your end-users.

4. Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of VertexComms and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

5. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

6. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

In no event shall VertexComms, nor its directors, employees, partners, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

8. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of [Your State/Country, e.g., the State of Delaware, USA], without regard to its conflict of law provisions. 9. Dispute Resolution

9.1. Informal Negotiation

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute"), you agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration.

9.2. Binding Arbitration

10. General Provisions
